Mining

Energy
Select key transactions of H&H and members of the team include:

  • Acting for BHP Billiton Petroleum in respect of its Macedon domestic gas project (Australia) ($1 billion project): The Macedon Project is an Australian gas project for a joint venture of BHPB Petroleum and Apache Energy. The plant is situated near to Onslow in the recently established Ashburton North Strategic Industrial Area which is to be the hub for industrial projects in the Onslow area including Chevron’s Wheatstone project. The project processes gas from the Macedon offshore gas field and also feeds into the DBNGP. H&H has advised on negotiating key commercial agreements including the state development agreement with the State which provides a framework for the development and operation of the project. The SDA is in substance a domestic state agreement which is not ratified by legislation;
  • Advising Apache Energy in respect of its Devil Creek gas project (Australia) (US$1 billion project): The Devil Creek Project was developed by a joint venture of Apache Energy and Santos. It processes gas from the Reindeer offshore gas field and feeds the gas into the domestic natural gas network via the Dampier to Bunbury Natural Gas Pipeline. The process plant is just south of Karratha and Dampier. It is a two train plant designed to process 200 million cubic feet of gas per day and commenced operation in December 2011. H&H advised on the various onshore tenure (leases, easements, pipeline easements and licences) required for the project, liaising with State government departments concerning the grant of tenure and advising on approvals
  • Acting for Barrus Petroleum (North Africa) in relation to the sale to Genel Energy (2012) involving due diligence of petroleum assets, negotiation of sale and purchase agreement and attending to all approvals
  • Advising foreign governments in relation to SE Asian offshore oil and gas projects including drafting of all key commercial agreements
  • Advising Otto Energy in relation to general matters relevant to South East Asian offshore oil and gas project (including service provider agreements)
  • Advising Afren PLC in relation to its West Africa gas projects
  • Advising developers in relation to a fundraising for a gas project in Mozambique
  • Advising Gasol PLC in relation to fundraising and gas projects in West Africa.
